GS 高盛:Asia Satellite-Shareholders seek to privatize AsiaSat

GE Equity has announced that it has swapped its holding in SES Astra for
SES' stake in AsiaSat. Currently, GE Equity and the CITIC group jointly own
69% of AsiaSat stock and are also making both a scheme of arrangement
proposal to buy the other 31% at HK$18.30 per share and a stock
exchange-mandated general offer at HK$16.00 per share. The scheme
price represents a 30% premium to the last traded price of HK$14.1 on Feb
9 prior to a trading suspension. If implemented, the scheme would result
in all minority shareholders selling and a de-listing; it needs 75% of
minorities to vote; 75% of minorities must be in favor and 10% or fewer
against. The initial timetable for completion is June 30. AsiaSat's board is
forming a committee to make a recommendation to minorities.
